These terms govern use of the Platform website and service (the "Service"), operated by Simon United LLC, d/b/a West Highland Ventures ("we," "us"). By using the Service you agree to these terms.
The Service provides social media performance measurement, reporting, and optional content publishing for membership organizations ("Networks") and their independent member businesses ("Members"). Commercial terms for each Network — fees, subscription tier, term, and any special terms — are set out in that Network's separately signed order form or service agreement, which together with these terms forms the complete agreement for that Network. If a signed order form conflicts with these terms, the order form wins.
The Service is for business use. Members connect social media accounts belonging to their business through the platforms' official authorization flows. You may only connect accounts you own or are authorized to manage, and you are responsible for activity under your access.
Our collection and use of data is described in the Privacy Policy. In short: platform data is accessed with consent through official APIs, each Network's data is stored in an isolated database, and we do not sell personal data or share one client's data with another.
You agree not to: misuse or attempt to circumvent the Service's security; access another Network's or Member's data; use the Service to violate any platform's terms of service; upload unlawful content; or resell access to the Service without a written agreement with us.
We own the Service — its software, design, and documentation. Networks and Members retain all rights to their own content and data; we receive only the limited license needed to operate the Service for them. Feedback you give us may be used to improve the Service without obligation.
The Service depends on APIs operated by TikTok and Meta. Those platforms may change or withdraw functionality at any time, and outages or policy changes on their side may affect the Service. We are not responsible for the acts, policies, or availability of third-party platforms.
The Service is provided "as is" and "as available." We do not warrant that it will be uninterrupted or error-free, or that metrics reported by third-party platforms are accurate or complete. Metrics reflect what the platforms report through their APIs.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or lost profits, arising from use of the Service. Our total liability for any claim is limited to the amounts paid by the applicable Network for the Service in the twelve months preceding the claim. Nothing in these terms limits liability that cannot lawfully be limited.
Networks' subscription terms are governed by their order forms. We may suspend or terminate access that violates these terms or threatens the security of the Service. On termination of a Network's subscription, that Network's data is handled as described in the Privacy Policy and its service agreement — exported on request, then deleted.
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Monroe County, New York.
We may update these terms; material changes will be dated above and Networks notified directly. Continued use after a change means acceptance.
